Abstract
The project researches status-legal and management sight of companies organisation, particularly corporations (jointstock companies) and limited (liability) companies in postprivatisation period. In this scope it is analysed the adjustment grade of Slovenian companies law with unification and harmonisation regulation of companies law within the framework of EU and ways how to adjust the Slovenian regulation in the field of companies law. Different models of organised owners-shareholders and involvement of employees in the management of companies are being analysed. The results of the research project have shown the need for modifying and supplementing Companies Act in more phases, thus in the aim of adjustment and harmonisation with companies law in the scope of EU and on the other hand in the aim of abolishing the inconsistency of particular provisions in the Companies Act and his further supplement, inclusively with definition of new legal forms of companies and status legal sight of reorganisation and capital and contractual integration (merger) of corporations and other companies.
