Abstract
The research program of the research group is oriented on the subject matter of law in which are specialised the individual co-operators of the group. The program is oriented in the different actual problems which appears in this areas and compares this with other law systems. In the selection of the research field it is followed the priority list of the fields on the one side and the importance of the existent problems at the time. Criterion is also legal regulation de lege ferenda and aims of internal and external social economic relations. The program focuses on the corporate structure of public corporations; by perfection of companies law, internally to link status legal questions, corporate governance, securities law. There is the need for further harmonisation of our status legislation to the European. In this scope it is analysed the adjustment grade of Slovenian Companies Act and analysed foreign comparative legislation in the field of mergers, de-mergers and reorganisations of companies. It will be pointed out also the complexion of other law’s from the area of company law, financial business questions of commercial subjects, register-legal questions and others. Research results and findings will be the groundwork for changes and adjustments of Slovenian legislation. In the postprivatization time in Republic Slovenia is a swing of trading with shares, and new experiences showed the need for perfection of the existent legislation with new legal solutions, in the field of status law and law of securities, to regulate companies take-overs and to adjust suitable terms of trading with securities, on one side, and to follow the harmonisation proceedings in the EU with appropriate normative interventions, on the other side.
