In the article, the author presents analysis of the current Slovenian legislation covering the issue of conflict of interests, with brief comparative overview. It is estimated that the legislative framework of the conflict of interest related issues in Slovenia is weak and should be improved. The questions like prohibition of competition, duty of disclosure and approval to acquire shares for directors, incompatibility and disinterested position of the supervisory boards' members, prohibition of board memberships for public officials, and other similar situations are analysed. The author concludes with proposals for legal amendments in this field.

COBISS.SI-ID: 12903249The aim of the paper is to assess the effect of the financial/economic crisis on firm performance across different industry sectors in Slovenia. We employ unusually reach data set: in the analysis we include micro level accounting data on all Slovenian firms in the period from 2003 until 2010. The analysis is based on selected financial performance measures with the application of difference-in-differences approach using regression analysis modified for this purpose. Our analysis shows that financial performance of firms was significantly poorer for most of the financial parameters included in the analysis, confirming the negative effect of the global financial crisis.

COBISS.SI-ID: 4582615Firms are driving forces for economic and social development; therefore it is important to understand what is their primary objective. The aim of the paper is twofold. First, the paper presents baseline theoretical concepts on the firms objectives. Secondly, the paper presents the results of the empirical study in Slovenia with which we tried to determine what are firms objectives perceived by their managers and how they see their responsibility to owners and other stakeholders. The empirical study was based on qualitative and quantitative research. Based on the interviews with five top managers in five firms with different ownership structure (private, state, foreign and mixed), we drew up the survey study. The survey was sent to the management of 1,400 Slovenian medium-sized and big companies, of which about one third responded. The survey results point to the fact that the perception of firms primary objective among Slovenian firms is under significant effect of economic transition and particularities of ownership features.
